Terms of Service

These Terms of Service ("Terms") govern your use of the Declared application ("App," "Service," "we," "us," or "our"), a Shopify application that corrects customs declared values on ShipStation international orders. By installing or using the App, you ("Merchant," "you," or "your") agree to be bound by these Terms.

1. Acceptance of Terms

By installing the Declared app from the Shopify App Store, you agree to these Terms and our Privacy Policy. If you do not agree, do not install or use the App. You represent that you have the authority to bind your business to these Terms.

2. Description of Service

Declared is a Shopify app that automatically detects international orders with discounts, calculates accurate post-discount declared values, and pushes corrected customs information to ShipStation via its API. The Service operates within the Shopify admin as an embedded app.

3. Account and Access Requirements

3.1 Shopify Store

You must have an active Shopify store with a plan that supports third-party app installation.

3.2 ShipStation Account

You must have a ShipStation account with a Gold Plan ($159+/month) or higher, as ShipStation restricts API access to these plan levels. You are responsible for maintaining your ShipStation subscription independently.

3.3 API Credentials

You are responsible for providing valid ShipStation API credentials. You must keep your credentials confidential and notify us immediately if you believe your credentials have been compromised. We encrypt your credentials at rest using AWS KMS but are not responsible for unauthorized access resulting from your failure to protect your credentials.

4. Subscription and Billing

4.1 Plans and Pricing

The App offers the following subscription plans:

4.2 Billing Through Shopify

All billing is processed through the Shopify App Subscription system. Charges appear on your Shopify invoice. We do not collect payment information directly.

4.3 Plan Limits

If you exceed your plan's monthly order limit, additional orders will not be processed until you upgrade your plan or a new billing cycle begins. You will be notified when approaching and exceeding your plan limit.

4.4 Plan Changes

You may upgrade or downgrade your plan at any time through the App's billing page. Changes take effect at the start of the next billing cycle unless you are upgrading, in which case the upgrade takes effect immediately with prorated charges as determined by Shopify's billing system.

4.5 Cancellation

You may cancel your subscription at any time by uninstalling the App from your Shopify admin. Upon uninstallation, your subscription will be cancelled and your data will be deleted in accordance with our Privacy Policy.

6. Customs Compliance Disclaimer

IMPORTANT: Declared calculates customs declared values based on the actual transaction prices in your Shopify store. However, customs regulations vary by country and are subject to change. You are solely responsible for ensuring that your customs declarations comply with all applicable laws and regulations in the destination countries of your shipments.

Declared does not provide legal, tax, or customs brokerage advice. The Service is a tool that corrects declared values to reflect actual transaction prices. If you have questions about customs compliance, consult a licensed customs broker or legal professional.

7. Data and Privacy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Intellectual Property

The App, including its code, design, documentation, and branding, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the App for its intended purpose during your subscription period.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

The Service integrates with Shopify and ShipStation. We are not responsible for the availability, accuracy, or reliability of these third-party services. Your use of Shopify and ShipStation is governed by their respective terms of service and privacy policies. Changes to Shopify's or ShipStation's APIs, pricing, or policies may affect the availability or functionality of the Service.

13. Service Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Termination

You may terminate these Terms at any time by uninstalling the App from your Shopify store.

We may suspend or terminate your access to the Service immediately if:

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections 6, 9, 10, 11, and 15 survive termination.

15. General Provisions

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

15.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.5 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.6 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
